This Privacy Policy describes how Optima BuildSolutions LLC ("TipShare," "we," "us"), the developer of the TipShare by Ponchi application (the "App"), collects, uses, and protects information when a merchant installs the App from the Clover App Market or uses our related websites and services.
TipShare is a tool for merchants (business owners and their authorized managers). The merchant — not TipShare — decides what employee information is processed and how tips are distributed. For most data we process, we act as a service provider/processor on the merchant's behalf.
From Clover, with the merchant's authorization. When a merchant installs the App and grants permissions through Clover's authorization flow, we receive, via the Clover API:
From Ponchi, if the merchant links a Ponchi account: employee rosters and time-clock records (clock-in/out times, hours) from the merchant's Ponchi workspace.
Uploaded by the merchant: time-clock or payroll files (for example, CSV punch reports from third-party time clocks), which may contain employee names and hours.
Entered in the App: tip-distribution rules, role assignments, manual adjustments, bonuses, and notes.
Automatically: standard technical logs (IP address, browser/device type, pages viewed, timestamps) used for security and troubleshooting.
We do not knowingly collect information from anyone under 16. The App is a business tool and is not directed at children.
We use the information above solely to provide the service:
We do not sell personal information. We do not share personal information for cross-context behavioral advertising. We do not use merchant or employee data to train artificial-intelligence models.
The App offers an optional AI-assisted setup that helps merchants describe their tip-distribution rules in plain language. When a merchant uses this feature, the text of the merchant's answers (and, if the merchant uploads one, the contents of their existing tip-calculation spreadsheet) is processed by our AI subprocessor, Anthropic, PBC, to generate a proposed rules configuration. Payroll calculations themselves are always performed by our own deterministic software — never by an AI model. Per our agreement with Anthropic, data submitted through the API is not used to train Anthropic's models.
We share information only with the subprocessors needed to run the service:

We may also disclose information if required by law, to protect our rights or users' safety, or in connection with a merger or sale of the business (in which case this policy continues to apply to previously collected data).
We never share one merchant's data with another merchant.
Employee names, hours, sales, and tip amounts are processed on behalf of the merchant, who is the employer and decides how tips are distributed. Employees with questions about how their information is used, or who wish to access or correct it, should contact their employer. We support merchants in fulfilling such requests.
We retain merchant and employee data while the merchant's subscription is active, because tip and payroll history is the core function of the App. After a merchant uninstalls the App or closes their account, we delete or de-identify their data within 90 days, except where a longer period is required by law or needed to resolve billing disputes. Merchants may request earlier deletion at contact@ponchi.app.
We use industry-standard safeguards: encryption in transit (TLS) and at rest, scoped API credentials, access controls limiting data access to authorized personnel, and audit logging of tip-rule changes. No system is perfectly secure; we will notify affected merchants of any breach involving their data as required by applicable law.
Depending on your state (including under the California Consumer Privacy Act and the Texas Data Privacy and Security Act), you may have rights to access, correct, delete, or receive a copy of personal information, and to not be discriminated against for exercising those rights. Merchants may exercise these rights at contact@ponchi.app. Employees should direct requests to their employer (see Section 5); we will assist the employer in responding. We do not sell personal information, so no opt-out of sale is needed.
We may update this policy from time to time. We will post the updated version with a new effective date and, for material changes, notify merchants through the App or by email.
